Helpcove ABN 49 138 926 423 ("Helpcove") operates an online marketplace allowing users ("You") to outsource jobs, find trusted service providers or hire flexible staff and seek new job opportunities or get accurate leads for their business through Helpcove’s website at http://www.helpcove.com/.

PLEASE READ THIS PRIVACY AND TERMS AGREEMENT CAREFULLY BEFORE USING THE SERVICES OFFERED ON THE HELPCOVE SITE.

Use of the Helpcove site confirms that you agree to be bound by this Agreement.

Please note that, in this document, Helpers are the ones who offer their services (service providers) and Help seekers are the ones who post requests for services to be done.

SCOPE OF HELPCOVE SERVICE

1.     Helpcove is an online platform that connects consumers and service providers with each other. 

2.     Helpcove performs the match only and besides enabling a Help seeker to find a Helper (service provider) for a particular job, Helpcove accepts no liability for any aspect of both Helper and Help seeker interaction, including but not limited to the description of services offered and the performance/delivery of services. Helpcove has no obligation to any user to assist or involve itself in any way in any dispute between a Helper and a Help seeker.

3.     Helpcove users supply all information related to jobs to be done. Helpcove does not have the means or responsibility to review, approve or verify any user’s information posted prior to publication on the Helpcove website or mobile application.

4.     You expressly agree that Helpcove has no responsibility and makes no warranty as to the truth or accuracy of any aspect of any posting of requests by users (including all Helpers and Help seeker), including, but not limited to the ability of the Helper to perform jobs, or the honesty or accuracy of any information posted by the Helper or the Help seeker’s ability to pay for the services requested.

5.      Helpcove Service Description:

a.     The Helpcove Service will be reviewed and updated occasionally. In addition to the points laid out below, certain part(s) of the Helpcove service may be described separately on the Helpcove site.

b.     A Help seeker requiring a service will need to register as a Helpcove member and post a complete and accurate description of the service to be performed, including, but not limited to the payment offered to the Helper.

c.      A Helper who can perform services will need to register as a Helpcove member and review requests posted by Help seekers. Since some jobs require the person to be qualified and licensed, we request the Helpers to mention any registered business number, license, qualification and insurance details in the "cabinet" section of their user profile.

d.     A user is officially a member of Helpcove (“Helpcove Member”) when he/she validly completes a registration form on the Helpcove site.

e.     If a Helper wants to provide services to the Help seekers, the Helper must either send a private message or send a bid in response to the Help seeker’s post requesting the service.

f.       If the Help seeker agrees to the Helper(s)’ offers then the Help seeker will need to award the Helper(s) the request/job by using the ‘award’ function on the Helpcove website or mobile application.

g.     Helper and Help seeker use the private messaging system on Helpcove website or mobile to communicate directly about the posted requests/jobs.

h.     When a Helper’s bid has been accepted by a Help seeker then the Helper is obliged to complete the transaction with the Help seeker, unless the request/job or transaction is prohibited by law, by this Agreement or by any of our Policies.

i.        If a Help seeker in any way updates a post after it has been published on the Helpcove Site, then all Helpers that have placed their bids on that post will be notified. Once the awarded Helper has provided the services requested by the Help seeker and the Help seeker has released the payment to the Helper (in person or online), then the Helper must log on to the Helpcove Site and "mark the job as complete" and leave a feedback. It will be material breach of this Agreement if a Helper clicks on the “mark as complete” button for a particular post without having provided the relevant services.

j.        A Help seeker cannot update the description of a request (that requires a single Helper) after awarding the request to a certain helper. For requests that requires multiple helpers, the help seeker can only revise the “number of helpers needed” once atleast one Helper is awarded the request/job.

k.      It will be a material breach of this Agreement if the Help seeker fails to pay Helper the agreed price by the agreed time.

l.       The Help seeker must pay the Helper directly and in the manner agreed at the time Helper’s bid was accepted by the Help seeker.

m.     The Helper must purchase credits from Helpcove site or mobile application. A credit is deducted for every request/job the Helper responds to in the form of a direct private message or a bid.

n.     Once the transaction is completed, the Helper and Help seeker are strongly recommended to leave a review for the respective party using the feedback features on the Helpcove site or mobile application. From time to time, Helpcove will remind you to leave a feedback if you have not done so.

6.     A Help seeker should never disclose in a request, personal details such as their full name, street number, phone number or email address.

7.     Helpcove users, more precisely, Help seekers will be able to invite Helpers from their “Favourites” list to make an offer on their job post, using the “Invite” feature on the application or website. When an invitation is sent from the Help seeker, the Helper is notified of the new posting and that the Help seeker would like him/her to make an offer on their request. However, the Helper will not have any further special rights and will need to follow the normal bidding process to become the awarded Helper.

8.     Third Party Services: Helpcove may from time to time, include on the site promotions for and links to services offered by third parties, sometimes in the form of ads. These third party services are not provided by Helpcove. Third Party services are offered to You and that Third Party Service of interest or of use. If you engage with any Third Party Service provider your agreement will be directly between You and that Third Party Service Provider. Helpcove makes no representation or warranty as to the third party services. However to help us continue to improve our Helpcove site, please let us know of any issue that you experience using a Third Party Service by contacting us at support@helpcove.com.

9.       Helpcove may include tools to help verify the identity of Helpcove Members and other site users (“Identity Verification Services”). These tools may include 100 points ID, mobile phone verification technology, verification of payment information and integration with social networking sites such as Facebook, Twitter and Linked In. You agree that Helpcove Identity Verification Services may not be fully accurate as all Helpcove services are dependent on user-supplied information. Helpcove Site users are solely responsible for identity verification and Helpcove accepts no responsibility for any use that is made of an Helpcove Identity Verification Service.

10.     Helpcove Site may also include a member-initiated feedback system to help evaluate Helpcove Member(s).

11.     The Helpcove Services may be modified at any time.

MEMBERSHIP ELIGIBILITY.

1.      A Helpcove membership can only be created in the name of an individual. However, a Helpcove Member registering as a Help seeker or Helper may specify in the “cabinet” section of their user profile that they are representing a business entity (including a company) by providing details of their business name, ABN or any business insurance coverage. To become a Helpcove Member you must be able to form legally binding contracts under applicable law. Our services are not available to persons under 18 years of age. If You do not qualify to use the Helpcove Services, You must not use the services.

2.      Helpers must supply valid credit card details for purchase of credits as set out in the Agreement. A Helper’s provision of credit card details confirms to Helpcove that:

                                  I.         Helper has authority to provide the credit card details to Helpcove; and

                                II.         Helpcove may automatically debit from that card any fees that become payable by You to Helpcove under this Agreement.

3.     While You are an Helpcove Member You must maintain control of your Helpcove account. You may not deal with your account (including feedback and associated Member UserID) in any way, including by allowing others to use your account or by transferring or selling the account or any of its content to another person)

MEMBER’S OBLIGATIONS

1.     You agree that at all times:

a.     You will comply with this Agreement (including all Helpcove Policies) and all applicable laws and regulations;

b.     You will post only accurate information on the Helpcove Site;

c.      You will promptly and efficiently perform all your obligations to other Helpcove Members and to Helpcove ;

d.     All content posted on the Helpcove Site belongs to Helpcove and may not be used on third party sites or for other business purposes without Helpcove’s prior permission; and

e.     You will ensure that You are aware of any laws that apply to You as a Help seeker or a Helper, or in relation to any other way(s) that You use the Helpcove Site.

2.                 You must not use the Helpcove Site for any illegal or immoral purpose.

3.      Any information posted on Helpcove Site must not, in any way whatsoever, be potentially or actually harmful to Helpcove or any other person. "Harm" includes, but is not limited to, economic loss that will or may be suffered by Helpcove. Without limiting any provision of this Agreement, any information You supply to Helpcove must be kept up to date and must not:

a.     be false, inaccurate or misleading or deceptive;

b.     be fraudulent or involve the sale of counterfeit or stolen items;

c.      infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or intellectual property rights, rights of publicity, confidentiality or privacy;

d.     violate any applicable law, statute, ordinance or regulation (including, but not limited to, those governing export and import control, consumer protection, unfair competition, criminal law, antidiscrimination and trade practices/fair trading laws);

e.     be defamatory, libellous, threatening or harassing;

f.       be obscene or contain any material that, in Helpcove's sole and absolute discretion, is in any way inappropriate or unlawful, including, but not limited to obscene, inappropriate or unlawful images;

g.     contain any malicious code, data or set of instructions that intentionally or unintentionally causes harm or subverts the intended function of any Helpcove website, including, but not limited to viruses, Trojan horses, worms, time bombs, cancelbots, Easter eggs or other computer programming routines that may damage, modify, delete, detrimentally interfere with, surreptitiously intercept, access without authority or expropriate any system, data or personal information.

4.       When You enter into a transaction using the Helpcove Site You create a legally binding contract with another Helpcove Member, unless the transaction is prohibited by law or by this Agreement (including the Helpcove Policies). If You do not comply with your obligations to another Helpcove Member, You may become liable to that other Member. If another Member breaches any obligation to You, You - not Helpcove - are responsible for enforcing any rights that You may have.

SUBSCRIPTIONS

1.      Becoming a Helpcove Member is free. There is no charge for a Help seeker to post requests, However if you want to use Helpcove as a Helper, then each new Helper initially benefits from 10 free credits. A credit will be deducted when a Helper responds to a request/job in the form of messaging and/or making an offer on jobs of other Helpcove Members.

2.       There are two types of plans, a recharge and a subscription plan. The recharge plan has two options, one is a starter and it is for Helpers whose needs are fairly small, that is, after they used up their initial 10 free credits, they will need to purchase more credits. Note the credits bought from recharge plans has an expiry time limit of 30 days. The subscription plan also known as the “Pro” plans, gets the helper unlimited credits. For a time period to be determined by Helpcove, new users that benefit from 10 free credits will have an option of sharing the details of their Helpcove activity on their Facebook timeline whenever they respond to a job/request whereby the credit charge will be waived. However should they choose to buy credits, then they will not be shown the Facebook sharing incentive whenever they respond to a request/job. Likewise, “Pro” plan users will not see the Facebook sharing incentive whenever they respond to a request/job.

3.                 If You are a Helper and a Help seeker accepts your offer to perform services, Help seeker has to pay the Helper the agreed amount either via cash in hand (which includes but is not limited to, online or conventional bank transfer or cheque) or Paypal. 

4.                 If a Helper agrees to pay some of the costs as part of completing a request/job, then the Helper is solely responsible for having those costs reimbursed by the Help seeker. Helpcove will not be responsible for obtaining any reimbursement from a Help seeker.

5.                 Helpcove may from time to time change the associated fee for the recharge and subscription plans. Any change relating to the Helpcove Fees is effective fourteen (14) days after Helpcove notifies You of that change by sending a message to your Helpcove account.

6.                 All fees payable to Helpcove are non refundable.

7.                 If Helpcove introduces a new service on the Helpcove Site, the fees applying to that service will be payable as from the launch of the service and will also be “Helpcove Fees” under this Agreement.

POSTING AND BIDDING

1.     A post must include the following details in order to be accepted by Helpcove:

                              I.            A summary and detailed description of the services

                             II.            Location where the Helper will need to go; the user can specify multiple locations, they can choose an “online” location or they can simply choose an option known as “I will travel to the Helper”.

                            III.            Start date for the request: the date when the request/job will commence

                           IV.            The number of helpers the help seeker requires

                            V.            The price that the Help seeker is prepared to pay for the services required (optional)

                           VI.            Payment method: how the Help seeker will pay Helper.

2.     Helpcove fees do not include any fees that may be due to Third Party Service Providers. All Third Party Fees must be paid pursuant to your separate agreement with Third Party Service Provider.

3.     Helpers must describe the request completely and accurately, as well as any information required by law. Request description may include attachments such as documents and photos. You must have the legal right to use any content that You post. Helpcove may, in its sole discretion, remove any request posted for any reason.

4.     Prior to the acceptance of a bid by a Help seeker, all communications between a Help seeker and the Helper bidding to deliver services happens via the private messaging system. Members are free to disclose phone number, email addresses or whatever other form of communication necessary for the Help seeker to explain the requirements and the Helper to make an offer based on sound information gathered from the Help seeker.

5.     In making a bid, a Helper agrees to provide the relevant services within the timeframe and on the terms and conditions specified in the Help seeker’s post (unless the Helper and the Help seeker agrees to vary the timeframe or the terms and conditions in the course of negotiations, in which case the Helper must provide the services in accordance with the agreed timeframe and terms and conditions).

6.     If, after acceptance of a bid, Helper and Help seeker wish to negotiate on price or timeframe for completion (for example, where Help seeker is not satisfied with the Helper’s performance) they may do so, via the Helpcove site (via private messaging), but otherwise those negotiations (and the resolution of any disputes) must be done outside the Helpcove Site.

7.     If a Helpcove member, wishes to complain about anything on the site, please contact us at support@helpcove.com

8.     Help seekers may choose not to accept any bid received. Help seekers may withdraw any posting at any time prior to acceptance of a Helper’s bid.

9.     A Helpcove Member has no obligation whatsoever to bid on any posting.

FEEDBACK.

1.      Helpcove is entitled to suspend or terminate your membership at any time if Helpcove, in its sole and absolute discretion, is concerned by any feedback about You, or considers your feedback rating to be problematic for other Helpcove Members.

2.      To continue to improve our Helpcove site, please let us know of any issue that you experience using a Third Party Service by contacting us at support@helpcove.com

LIMITATION OF LIABILITY

1.      To the extent permitted by law Helpcove specifically disclaims all liability for any loss or damage (actual, special, direct, indirect and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed (including, without limitation, loss or damage relating to any inaccuracy of information provided, or the lack of fitness for purpose of any goods or service supplied), arising out of or in any way connected with any transaction between Helper and Help seeker.

2.      To the extent permitted by law, Helpcove specifically disclaims all liability for any loss or damage (actual, special, direct, indirect and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed (including, without limitation, loss or damage relating to any inaccuracy of information provided, or the lack of fitness for purpose of any goods or service supplied), arising out of or in any way connected with any transaction between you any Third Party Service Provider who may be included from time to time on the Helpcove site.

3.      Helpcove's liability to any user of this service is limited to the total amount of fees paid by that user to Helpcove during twelve month period prior to any incident causing liability to Helpcove.

DEFAULT IN TRANSACTIONS.

1.      If You, as a Helper or Help seeker, fail to complete a transaction and do not have a lawful excuse for such failure, then in addition to Helpcove's rights under this Agreement to suspend (temporarily or indefinitely) or terminate any user’s membership, You may be in breach of your obligations to both Helpcove and the Helper or Help seeker with whom you are transacting.

NO WARRANTY.

1.     The Helpcove service is provided on an "as is" basis, and without any warranty or condition, express or implied. To the extent permitted by law, we and our suppliers specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose and noninfringement to extent allowed by law.

MODIFICATIONS TO THE AGREEMENT,

1.      Helpcove may modify this Agreement and/ or the Policies (and update the Helpcove pages on which they are displayed) from time to time. Helpcove will send notification of such modifications to your Helpcove account. You should check that account regularly.

2.      Except as stated in this Agreement, in a Policy, or as otherwise notified to You, all amended terms will automatically be effective 30 days after they are initially notified to You. Each time You use the Helpcove Site in any manner after the expiry of that 30 day period, You acknowledge any changes to the Agreement (including the Policies) and confirm your agreement to be bound by the Agreement as it may have been varied.

3.      If You do not agree with any changes to this Agreement (or any of our Policies), You must terminate your Helpcove membership. Except as specifically described in or authorised by this Agreement, the terms of this Agreement and any Helpcove Policy cannot be amended except in writing signed by You and Helpcove.

NO AGENCY.

1.      No agency, partnership, joint venture, employee-employer or other similar relationship is created by this Agreement. In particular You have no authority to bind Helpcove, its related entities or affiliates in any way whatsoever. Helpcove Confirms that all Third Party Services that may be promoted on the Helpcove service are provided solely by such Third Party. To the extent permitted by law, Helpcove specifically disclaims all liability for any loss or damage incurred by You in any manner due to the performance or non performance of such Third Party Service.

NOTICES.

1.      Except as stated otherwise, any notices must be given by registered ordinary post (or by email, either to support@helpcove.com contact address as displayed on the Site, or to Helpcove Members’ contact address as provided at registration). Any notice shall be deemed given:

·        If sent by email, 24 hours after email is sent, unless the Help seeker is notified that the email address is invalid, and

·        If sent by pre-paid post, three Business Days after the date of posting, or on the seventh Business Day after the date of posting if sent to or posted from outside Australia. In this section, "Business Day" means a day on which banks are open for general business in Sydney, New South Wales, other than a Saturday, Sunday or public holiday.

2.     Notices related to performance of any Third Party Service must be delivered to such Third Party as set out in Third Party Service Provider terms and Conditions.

MEDIATION AND DISPUTE RESOLUTION.

1.      Helpcove encourage You to try and resolve disputes with other Helpcove Members directly or to use a certified mediation (such as online dispute resolution processes) or an arbitration entity, or to report disputes to your local police or law enforcement agency as appropriate.

2.       Disputes with any Third Party Service Provider must proceed pursuant to any dispute resolution process set out in the terms of service of the Third Party Service Provider.

3.       Any controversy or claim arising out of, or in connection with, this Agreement between Helpcove and You may be settled by independent, confidential mediation by reference to a commercial disputes centre, at either party's election. You and Helpcove agree to be bound by the outcome of that mediation. Each of You and Helpcove will bear its own costs (and split equally any joint costs) of mediating the dispute.

TERMINATION

1.       Either party may terminate this Agreement at any time for any reason.

2.       Third party Services are subject to Third Party Service Provider terms and conditions.

3.        Sections “Fees”, “Limitation of Liability” and “Mediation and Dispute Resolution” will survive any termination or expiration of this Agreement.

GENERAL

1.        This Agreement is governed by the laws of New South Wales, Australia. You and Helpcove submit to the non-exclusive jurisdiction of the courts of New South Wales, Australia.

2.        The provisions of this Agreement are severable, and if any provision of this Agreement is held to be invalid or unenforceable, such provision may be removed and the remaining provisions will be enforceable.

3.        This Agreement may be assigned by Helpcove to a third party without your consent. In the event of an assignment You will remain bound by this Agreement.

This Agreement sets out the entire understanding and agreement between You and Helpcove with respect to its subject matter.

PRIVACY.

1.     Third Party Service providers will provide their service pursuant to their own Privacy Policy. Prior to acceptance of any service from a third party you must review and agree to their terms of service including their privacy policy.
